The North Dakota Cost That Actually Threatens You

Here is where the quarterly rhythm gets awkward. North Dakota collects its LLC annual report once a year, on a November 15 deadline, for $50. Miss it and a second $50 attaches. Keep missing it and the state does something most states reserve for a courtroom: at six months past due, under § 10-32.1-90, the limited liability company is terminated by operation of law. No hearing, no filing by anyone, no cure period beyond the notices already sent. Bringing the company back costs $135 in reinstatement plus the reports that were skipped.

Every warning along that path is mailed to the registered agent of record. That is the whole argument for choosing an agent by how fast it forwards mail, and none of it costs $596.
